Agreement to these terms
These Terms of Service and Website Use (“Terms”) are between you and Scott Gilbert Mills, operating as SGM Studios (“SGM,” “we,” “us,” or “our”), the operator of sgmstudios.ca (the “Site”). If you do not agree, do not use the Site.
You must have legal capacity to agree to these Terms. The Site is intended primarily for business users and adults.

Website information
The Site provides general information about SGM, examples of its working method, service descriptions, educational tools, and ways to make an inquiry. Neither the Site nor SGM’s audit, research, advisory, or implementation services replace professional legal, accounting, tax, security, accessibility-certification, or investment advice.
Examples, sample findings, estimates, and educational checks illustrate possible opportunities. They are not a diagnosis of your store or business and do not promise a particular result.

Paid services require a written agreement
SGM provides audit, research, advisory, and optional implementation services under a written scope. A website visit, email, call, estimate, fit check, or prepared payment link does not by itself create a client relationship or reserve time. Paid work begins only when the parties accept a written proposal, statement of work, engagement letter, or other project agreement (each a “Scope”) and any stated start conditions are complete.
The Scope should state the deliverables, exclusions, client responsibilities, access, schedule, price, currency, applicable taxes, third-party costs, deposit, payment timing, cancellation and refund terms, approval process, ownership or licence terms, confidentiality, support, and handoff.
If these Terms conflict with an accepted Scope, the Scope controls for that project.
Shopify Revenue Leak Audit pricing
The Site currently describes a Shopify Revenue Leak Audit at $1,500 USD with a $500 USD deposit credited to the total. The written Scope and invoice provided before payment confirm the current price, taxes, balance timing, cancellation terms, and start conditions. The Site does not collect payment.

Your responsibilities
If you request or purchase services, you are responsible for providing accurate information, timely decisions, lawful access, and materials you have the right to use. You remain responsible for business decisions, implementation choices, legal and regulatory compliance, pricing, products, and whether to act on a recommendation. You must identify any legal, regulatory, accessibility, security, privacy, brand, or platform requirement that applies to your business.
You must not provide customer personal information, credentials, regulated data, confidential third-party material, or other sensitive information unless the Scope requires it and an approved transfer method has been agreed.
Delays, missing access, incomplete data, conflicting feedback, platform restrictions, or new requirements may change the schedule or scope.

Acceptable use
You may not misuse the Site, interfere with its operation, attempt unauthorized access, introduce malicious code, scrape it in a way that burdens the service, impersonate another person, submit unlawful material, or use the Site to violate another person’s rights.

Intellectual property
Unless otherwise stated, the Site’s text, design, graphics, examples, code, methods, and branding are owned by or licensed to SGM. You may view and print reasonable portions for your own internal evaluation. You may not republish, sell, copy in bulk, remove attribution, or present Site material as your own without written permission.
SGM’s pre-existing methods, templates, reusable tools, code, systems, know-how, and improvements (“Background Materials”) remain SGM’s property unless a Scope expressly says otherwise. Ownership and licences for client-specific deliverables, client materials, third-party materials, source files, and portfolio-display permission must be stated in the Scope.

Third-party services & links
The Site may link to Shopify, GitHub, email, payment, document-signing, hosting, scheduling, analytics, or other third-party services. Their terms, privacy practices, availability, and security are outside SGM’s control. A link does not mean SGM guarantees or endorses the third party.
Platform changes, outages, policy decisions, account restrictions, or third-party fees may affect a project. The Scope assigns responsibility for material third-party services.

No guaranteed business result
SGM may commit to defined work and professional care in a Scope. SGM does not guarantee revenue, profit, conversion lift, search ranking, traffic, uptime, platform approval, legal compliance, accessibility conformance, or security certification.
SGM Studios’ audit findings, recommendations, and any illustrative scenarios are informed by available evidence and the information reviewed. They are not guarantees or projections of future revenue, profit, conversion rate, sales, or other business results. Actual outcomes depend on many factors outside SGM Studios’ control, including implementation decisions, pricing, products, traffic quality, customer behavior, platform changes, competition, and market conditions.
Important qualifications appear near the related claim and are not replaced by this section.

Website availability & disclaimers
The Site is provided on an “as available” basis. To the fullest extent permitted by law, SGM disclaims implied warranties relating to the Site, including merchantability, fitness for a particular purpose, and non-infringement. SGM does not promise that the Site will always be available, error-free, current, or free of harmful components.
Nothing in these Terms excludes a warranty, condition, remedy, or consumer right that applicable law does not allow the parties to exclude.

Limitation of liability
To the fullest extent permitted by law, SGM will not be liable for indirect, incidental, special, consequential, punitive, or exemplary loss arising from use of the Site, including lost profits, revenue, data, business opportunity, or goodwill.
For a claim relating only to the free Site, SGM’s total liability will not exceed CAD $100. Limits for paid services belong in the accepted Scope. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

Responsibility for misuse
You agree to be responsible for reasonable losses, claims, and costs arising from your unlawful misuse of the Site, your violation of these Terms, or material you submit without the required rights. This does not require you to compensate SGM for SGM’s own negligence or misconduct.

Changes to the Site or Terms
SGM may update the Site and these Terms. The effective date above will change when the Terms change. Material changes will be presented clearly. Changes do not rewrite an already accepted Scope unless both parties agree in writing.

Governing law
These Terms are governed by the laws of Saskatchewan and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Subject to non-waivable rights and any valid dispute process in a signed Scope, the courts located in Saskatchewan have exclusive jurisdiction over disputes relating only to the Site.
If any part of these Terms is unenforceable, the rest remains in effect. A failure to enforce a term is not a waiver. These Terms and the Privacy Policy form the entire agreement about use of the Site.
